New directors must participate in an orientation program, which generally will be conducted as soon as practicable following their election. The agenda for the orientation program shall be determined by the Chairman of the Board, in consultation with the General Counsel and the Lead Director(s), who may consult as appropriate with the Chairpersons of the standing committees of the Board of Directors. The Board of Directors encourages directors to participate in continuing education programs, and TD Banknorth shall pay the reasonable expenses of attendance by a director to one such program per year. Each year, management shall reevaluate these Corporate Governance Guidelines and recommend to the Board of Directors revisions that are necessary and appropriate to assist the Board in discharging its responsibilities more effectively. |
